1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Landlord CYA ("Company," "we," "us," or "our") governing your access to and use of the Landlord CYA platform, including any associated websites, applications, and services (collectively, the "Service").

By creating an account or using the Service, you confirm that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Description of Service

Landlord CYA is a property management platform designed for Alberta landlords. Our Service provides tools for:

• Property and tenant documentation management
• Compliance tracking under Alberta's Residential Tenancies Act (RTA)
• Evidence compilation for RTDRS (Residential Tenancy Dispute Resolution Service) proceedings
• Financial tracking and tax reporting assistance (T776)
• Lease agreement generation
• Communication logging and record-keeping

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You agree to:

• Provide truthful, accurate, and current registration information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

4. Subscription and Payment

4.1 Subscription Plans

The Service is offered through various subscription plans. Plan details, features, and pricing are available on our website and may change from time to time with reasonable notice.

4.2 Beta Program

During the beta period, certain features may be offered free of charge or at reduced rates. Beta features may be modified, suspended, or discontinued at any time without notice.

4.3 Payment Terms

For paid subscriptions:

• Payments are processed through secure third-party payment providers
• Subscriptions automatically renew unless cancelled before the renewal date
• Refunds are handled according to our refund policy
• We reserve the right to change pricing with 30 days' notice

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes related to property management within Alberta, Canada. You agree to use the Service in compliance with all applicable federal, provincial, and municipal laws.

5.2 Prohibited Conduct

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload false, misleading, or fraudulent information
• Violate the privacy rights of tenants or third parties
• Use the Service to harass, discriminate against, or intimidate tenants
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization

6. User Content

6.1 Your Content

You retain ownership of all content you upload to the Service ("User Content"), including documents, photos, communications, and data. By uploading content, you grant us a limited license to store, process, and display your content solely to provide the Service to you.

6.2 Content Responsibility

You are solely responsible for:

• The accuracy and legality of all User Content
• Ensuring you have the right to upload and use such content
• Maintaining appropriate backups of your content
• Compliance with privacy laws when uploading tenant information

6.3 Content Removal

We reserve the right to remove any content that violates these Terms or applicable law, without prior notice.

7. Intellectual Property

7.1 Our Property

The Service, including all software, designs, text, graphics, logos, and other materials, is owned by Landlord CYA and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business property management purposes, subject to these Terms.

8. Third-Party Services

The Service may integrate with or link to third-party services, including:

• Payment processors
• Tenant screening services
• Cloud storage providers
• Government databases and services

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, accuracy, or practices of third-party services.

9. Disclaimers

9.1 No Legal Advice

The Service provides tools and information for property management but does NOT constitute legal advice. We are not a law firm, and use of the Service does not create an attorney-client relationship.

9.2 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.3 No Guarantee of Outcomes

We do not guarantee any particular outcome from using the Service, including but not limited to success in RTDRS proceedings, legal disputes, or tenant relations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANDLORD CYA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Damages arising from your use or inability to use the Service
• Damages arising from unauthorized access to your account or data
• Damages arising from conduct or content of third parties

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Landlord CYA and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your User Content
• Any dispute between you and your tenants

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination, you will lose access to the Service and your data.

12.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your account poses a security risk
• Required by law

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may retain your data as required by law or for legitimate business purposes, as described in our Privacy Policy.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

13.2 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Calgary, Alberta, Canada. You consent to the personal jurisdiction of such courts.

13.3 Informal Resolution

Before filing any legal claim, you agree to attempt to resolve disputes informally by contacting us at contact@landlordcya.ca. We will attempt to resolve disputes within 30 days.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Sending an email notification to registered users
• Displaying a notice within the platform

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Landlord CYA regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
